1. Introduction
These Terms of Service (ToS) constitute a legal agreement between you (the user) and Tirzok Private Limited ("we," "us"). By using our SaaS-based ERP services, you agree to these terms. If you do not agree, please do not use our services.
2. Definition
2.1 "Tirzok," "we," "us" – Refers to Tirzok Private Limited and any representative, employee, or authorized partner providing services on its behalf.
2.2 "You," "User," "Customer" – Refers to any individual, organization, or representative using Tirzok ERP SaaS.
2.3 "Service" or "Software" – Refers to any features, applications, modules, or technical utilities provided via Tirzok ERP SaaS on web/mobile platforms.
2.4 "Agreement" – Refers collectively to this Terms of Service and the Privacy Policy, forming a legally binding relationship.
2.5 "Subscription" – Refers to the paid access right to use the ERP software for a defined period.
2.6 "User Account" – A registered profile within Tirzok ERP used to access services.
2.7 "Third Party" – Any external entity, software, or service integrated with Tirzok ERP.
2.8 "Data" – Any information, document, account, or report stored on the platform by the user.
2.9 "Legal Obligation" – Refers to the applicable laws and regulations of Bangladesh.
3. Account Registration & Management
3.1 Users must create a valid account providing accurate, complete, and updated information (e.g., full name, valid email, phone number, secure password).
3.2 Organizations can create multiple users/sub-users under a primary account with defined roles.
3.3 Password security is the user's responsibility.
3.4 Accounts are non-transferable.
3.5 Inactive accounts (e.g., unused for 6 months) may be deactivated or deleted with prior notice.
3.6 Users may request account closure, which will delete all data permanently.
3.7 Admin users can control permissions, view activity logs, and manage data access.
4. Use of Services
4.1 Users must use services legally and ethically. 4.2 Prohibited activities include reverse engineering, unauthorized automation, inappropriate content, and excessive resource usage.
4.3 Customizations must stay within allowed limits. No third-party module can be installed without approval.
4.4 Third-party integrations are allowed but the user is responsible for legal and security compliance.
4.5 Tirzok may monitor usage and suspend features or accounts if misuse is detected.
4.6 Software updates and maintenance may cause temporary unavailability.
4.7 Users are granted a limited, non-exclusive, non-transferable license to use the platform.
4.8 All intellectual property rights remain with Tirzok.
4.9 Emergency misuse may result in immediate access restriction.
4.10 Users are responsible for data accuracy and security.
5. Ownership & Licensing
5.1 All software elements remain the property of Tirzok Private Limited.
5.2 Users receive a limited license to use the platform for internal use.
5.3 Third-party tools used follow their respective licenses.
5.4 Custom configurations remain user-owned; core features developed based on user input are owned by Tirzok.
5.5 Users retain ownership of their data; Tirzok will not share/sell it without consent.
5.6 Tirzok reserves the right to modify the software at any time.
5.7 Licenses may be revoked for breach of terms or non-payment.
5.8 Trademarks and branding are protected and cannot be used without written permission.
6. Subscription, Billing & Pricing
6.1 Multiple subscription plans are available (monthly/annual).
6.2 Pricing includes applicable taxes and may change with prior notice.
6.3 Payments must be made in advance via supported methods (mobile banking, bank transfer, cards).
6.4 Late payments may lead to suspension or data deletion.
6.5 Auto-renewals are enabled unless manually canceled.
6.6 Cancellations do not guarantee refunds for current billing cycles.
6.7 Refunds are generally not provided but may be considered under special cases.
6.8 Promotional discounts or trials may apply temporarily.
6.9 Invoices are downloadable in PDF format.
6.10 Users are responsible for payment accuracy and timely issue reporting.
7. Service Reliability & Uptime
7.1 Tirzok targets 99.5% monthly uptime.
7.2 Scheduled maintenance typically occurs between 12 AM - 6 AM.
7.3 Emergency maintenance may occur without prior notice.
7.4 Downtime incidents will be resolved ASAP, and reports may be provided on request.
7.5 Service disruption due to third-party providers is not Tirzok's responsibility.
7.6 Regular improvements and updates are made.
7.7 Uptime failures (e.g., <98%) may result in partial refund upon request.
7.8 External factors like natural disasters, power/internet outages, or cyberattacks may cause service disruption.
8. Data Privacy & Security
8.1 Tirzok collects necessary data for service delivery (e.g., user activity, configurations).
8.2 User data remains confidential and is not sold or shared.
8.3 Security measures include SSL, encryption, firewalls, and access controls.
8.4 Regular automated backups are taken.
8.5 Data is shared with third parties only for integrations or legal reasons.
8.6 Users must maintain password confidentiality and report suspicious activity.
8.7 Services are not designed for users under 18.
8.8 Privacy policy changes will be communicated.

9. Backup & Recovery
9.1 Daily, weekly, and secure encrypted backups are maintained.
9.2 Users can request data recovery within retention windows.
9.3 Disaster recovery plans ensure service resumption within 12-24 hours.
9.4 Self-hosted users must manage their own backups.
9.5 Recovery charges may apply for extended data restoration.
9.6 DevOps team monitors and ensures backup integrity daily.
10. Support
10.1 Support channels include email, ticket system, chat (if applicable), and phone (for select plans).
10.2 Support hours: Sun-Thurs 9 AM-6 PM; limited support on weekends.
10.3 SLA response times vary by issue severity (Critical: 1hr response, 6-12 hrs resolution).
10.4 Covered support includes platform bugs, configuration help, basic API integration.
10.5 Limitations: Custom development, third-party issues, and self-hosted server problems.
10.6 Priority support may include dedicated manager and SLA guarantees.
10.7 Users must provide accurate issue details and maintain a point-of-contact.
11. Termination
11.1 Users may cancel subscriptions anytime.
11.2 Tirzok may terminate services for policy violations, non-payment, or illegal activities.
11.3 Suspensions may occur for overdue bills or suspicious usage.
11.4 Data is retained for 30 days post-cancellation.
11.5 No refunds unless otherwise agreed.
11.6 Users must backup data before closure.
12. Limitation of Liability
12.1 Tirzok's maximum liability is the value of one month of subscription fees.
12.2 Not liable for user misconfiguration, third-party apps, or business losses.
12.3 ERP outputs depend on user-provided data.
12.4 Data breach due to user-side issues is not Tirzok's liability.
12.5 Trial users acknowledge the temporary and limited nature of services.
12.6 Maximum cumulative liability limited to 3 months' subscription fee.
13. Modifications & Updates
13.1 Tirzok may update these terms without prior notice.
13.2 Changes will be posted on the website with effective dates.
13.3 Continued use after updates implies acceptance.
13.4 Price changes take effect in the next billing cycle with notice.
13.5 Users may request previous ToS versions.
14. Legal Compliance
14.1 These terms are governed by the laws of Bangladesh.
14.2 Jurisdiction: Courts of Dhaka, Bangladesh.
14.3 Legal disputes will first be preceded by a written notice.
14.4 Mediation/arbitration is encouraged before court proceedings.
14.5 If any clause is invalid, remaining terms remain enforceable.
